1. SCOPE

These Terms & Conditions (the “Agreement”) apply to all orders, purchases, and use of Ann & Eli products (each a “Product”) manufactured by or for Ann & Eli Apothecary Inc. (“Ann & Eli”, “we”, “us”, or “our”) through www.ann-eli.com and any related websites, mobile applications, or services operated by Ann & Eli (collectively, the “Site”).

By accessing the Site and/or purchasing any Product, you agree to be bound by this Agreement.

If you are purchasing on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity to these Terms.

If you do not agree to these Terms, you must not access the Site or purchase any Products.

Due to the natural characteristics of botanical ingredients, minor variations in color, taste, or aroma may occur between batches.

Certain Products may be available exclusively online through the Site and may be offered in limited quantities.

• limit quantities of Products purchased
• discontinue any Product at any time

5. ORDERS

Placing an order constitutes an offer to purchase the selected Products.

Ann & Eli reserves the right to accept or refuse any order at our sole discretion, including in cases of:

• stock unavailability
• suspected fraud
• payment authorization issues
• pricing or product description errors

Once an order is confirmed, you will receive an order confirmation email.

Ann & Eli reserves the right to cancel or modify an order prior to shipment if necessary.

6. PRICES & PAYMENT

All prices displayed on the Site are listed in Canadian dollars (CAD) or euros (EUR) depending on the currency selected by the customer.

Prices displayed in currencies other than CAD are provided for convenience and may be automatically converted based on current exchange rates.

Unless otherwise stated, prices exclude applicable taxes, duties, and shipping fees, which will be calculated and displayed at checkout where applicable.

Payment must be made in full at the time of purchase.

All transactions are processed securely via Shopify’s payment infrastructure and comply with PCI-DSS security standards.

By submitting payment information, you represent and warrant that you are authorized to use the chosen payment method.

7. SHIPPING & DELIVERY

Products will be shipped to the delivery address provided at checkout.

Delivery times are estimates only and may vary depending on the destination and carrier.

Ann & Eli is not responsible for delays caused by shipping carriers, customs authorities, or events beyond our reasonable control.

For international orders, the customer is responsible for any customs duties, taxes, or import fees required by the destination country.

Risk of loss transfers to the customer once the order has been delivered to the shipping carrier.

8. RETURNS, REFUNDS & EXCHANGES

Due to the nature of our products, certain items may not be eligible for return for hygiene and safety reasons.

If returns are permitted, Products must be:

• unopened
• unused
• in their original packaging

within the timeframe specified in our Return Policy.

Return shipping costs are the responsibility of the customer unless the return is due to an error on our part.

Refunds, if approved, will be issued to the original payment method.

9. LIMITATION OF LIABILITY

To the fullest extent permitted by applicable law, Ann & Eli shall not be liable for:

• indirect, incidental, or consequential damages
• misuse or improper use of Products
• allergic reactions or sensitivities

• logos
• product names
• trademarks
• images

is the property of Ann & Eli Apothecary Inc. and is protected by intellectual property laws.

No content from this Site may be reproduced, distributed, or used without prior written permission.

11. INDEMNIFICATION

You agree to indemnify and hold harmless Ann & Eli, its directors, officers, employees, and affiliates from any claim, liability, damages, or expenses arising from:

These Terms & Conditions shall be governed by and interpreted in accordance with the laws of Canada and the Province of Quebec, without regard to conflict of law principles.

Any dispute arising under these Terms shall be subject to the exclusive jurisdiction of the courts located in Quebec, Canada.
